TERMS OF SERVICE AND CONDITIONS These Terms of Service and Conditions ("Terms") govern your access to and use of the PadelSight website, apps, and related services (collectively, the "Service"). IMPORTANT: Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization (e.g., a club or team), you represent that you have authority to bind that organization to these Terms. 1) DEFINITIONS - "PadelSight", "we", "us", "our": PadelSight, and its affiliates and contractors involved in operating the Service. - "You", "your": the user of the Service. - "Content": anything you upload or provide through the Service, including videos, text (titles/descriptions/notes), profile data, and other materials. - "Video": any video file uploaded by you or on your behalf. - "Coach": a user with the COACH role who may access assigned Videos to produce an Analysis. - "Analysis": feedback, reports, and/or review video produced for a Video (which may include a PDF report and/or a review video). - "Subscription": a paid plan providing upload quota and access to paid features. 2) WHO MAY USE THE SERVICE (ELIGIBILITY) 2.1 Age. The Service is not intended for children. You must be at least 16 years old to create an account and use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms. 2.2 Accuracy of information. You agree to provide accurate and up-to-date information when creating and maintaining your account. 3) ACCOUNTS, SECURITY, AND ROLES 3.1 Account creation. To use core features (including uploading videos and viewing analyses), you must create an account. You may sign up using email/password and/or third-party login providers where available. 3.2 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us promptly if you suspect unauthorized access. - Users can upload Videos and receive Analyses. - Coaches can access Videos assigned to them for review and can generate Analyses. 4) THE SERVICE (WHAT WE PROVIDE) 4.1 Core functionality. PadelSight allows users to upload padel-related Videos and receive an Analysis. The Service includes: - Video upload and storage - Video viewing via secure links - Assignment of Videos to Coaches - Delivery of Analysis outputs (e.g., report and/or review video) when available 4.2 No guarantee of outcomes. We do not guarantee that the Service will improve athletic performance, that any feedback will be accurate, complete, or suitable for your situation, or that you will achieve any particular results. 4.3 Service changes. We may add, remove, or change features (including introducing advertising, changing upload limits, or adjusting how analyses are delivered). We may also suspend or discontinue parts of the Service. 5) SUBSCRIPTIONS, QUOTAS, BILLING, AND TAXES 5.1 Plans and quotas. Some features require a paid Subscription. Subscriptions may include upload quotas measured by the duration of uploaded Videos (e.g., seconds/minutes per billing period). Upload eligibility may depend on your plan status and remaining quota. 5.2 Payment processing. Payments are processed by third-party payment processors - Stripe. We do not store your full payment card details. Your payment is subject to the Stripe’s terms and privacy policy. 5.3 Auto-Renewal. Subscriptions auto-renew each billing period unless canceled before the renewal date. 5.4 Cancellation. You can cancel your Subscription at any time, through the Service or by contacting support at support@padelsight.com. Cancellation takes effect at the end of the current billing period. 5.5 Refunds. All fees are non-refundable except as required by law. 5.6 Price changes. We may change prices or plans from time to time. If we do, we will provide notice as required by applicable law, and changes will apply no earlier than your next billing period. 5.7 Invoices and taxpayer numbers (NIF/Contribuinte). At this time, we do not issue invoices/receipts that include a taxpayer identification number (such as the Portuguese NIF / “Contribuinte”). 6) USER CONTENT AND VIDEO UPLOADS 6.1 You retain ownership. You retain any ownership rights you have in your Content. We do not claim ownership of your Videos. 6.2 License you grant to us. To operate the Service, you grant PadelSight a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and display your Content, and to create derivative works as necessary to: - store and deliver your Videos, - provide access to your Videos to you and the Coach(es) assigned to your Video, - generate and deliver Analyses (including creating report files and review videos), - maintain and improve the Service (e.g., debugging, security, performance). This license continues until your Content is deleted from our systems, except that: - cached or backup copies may persist for a limited period, and - we may retain certain records where required for legal, security, or fraud-prevention purposes. 6.3 Permission to share with Coaches. You understand and agree that your Videos (and some related information) will be accessible to the Coach(es) assigned to your Video for the purpose of producing an Analysis. Coaches may also see limited account information necessary to perform services and communicate about the analysis (e.g., your name and email address). 6.4 Your responsibilities and permissions. You represent and warrant that: - you own your Content or have the necessary rights to upload and grant the license above; - you have obtained all required permissions/consents from anyone appearing in your Videos (including for their image/voice), and you will comply with applicable privacy laws; - your Content does not infringe intellectual property rights, privacy rights, or other rights of any third party; - your Content complies with these Terms and applicable laws. 6.5 Content restrictions. You may not upload or use the Service to store, share, or transmit Content that: - is unlawful, threatening, harassing, defamatory, or deceptive; - violates the privacy or publicity rights of others; - infringes intellectual property rights; - contains malware or attempts to compromise the Service; - includes sensitive personal data you do not have the right to share. 6.6 Upload requirements and rejection. We may set technical and content requirements (file formats, size limits, duration limits, quality requirements). We may reject, remove, or restrict access to any Video that violates these Terms, is not suitable for analysis, or creates risk to the Service or others. Rejected Videos may include a rejection reason. 6.7 Deletion of Videos. The Service may allow deletion of certain Videos (e.g., while they are pending review). For Videos that cannot be deleted through the interface, you may request deletion via the contact details below, and we will evaluate the request subject to legal and operational constraints. 7) COACH SERVICES AND DISCLAIMERS 7.1 Nature of coaching feedback. Analyses are provided for informational and educational purposes only. They are not medical advice, legal advice, or a substitute for professional in-person coaching. 7.2 Safety. You are responsible for your training decisions and for exercising appropriate care and judgment. Do not perform drills or training that are unsafe for your fitness level or health conditions. 7.3 Coach availability and turnaround. We do not guarantee that a Coach will be available at all times or that an Analysis will be completed within a particular timeframe unless explicitly stated in your plan or a separate written agreement. 8) PRIVACY Our Privacy Policy explains how we collect, use, and share personal data when you use the Service: Privacy Policy. 9) THIRD-PARTY SERVICES The Service relies on third-party services and infrastructure. For example: - Cloud storage for Videos and analysis files (e.g., Cloudflare R2) - Payment processing (e.g., Stripe) - Email delivery (e.g., Resend) - Security/anti-bot verification (e.g., Cloudflare Turnstile) - Error monitoring/performance logging (e.g., Sentry) Your use of the Service may be subject to the terms and policies of these third parties. We are not responsible for third-party services, and they may change or become unavailable. 10) ADVERTISING, SPONSORED CONTENT, AND LINKS (CURRENT OR FUTURE) 10.1 Ads. The Service may display advertisements now or in the future. Ads may be provided by us or by third-party advertising partners. 10.2 Contextual ads (no cross-site personalization). If we display ads, we intend for them to be contextual (based on the page content rather than cross-site tracking). We may still use limited technical signals (e.g., IP-derived region, device type) and basic measurement to operate and measure ads. 10.3 No endorsement. Ads and sponsored content are not endorsements. We do not guarantee the quality, safety, or legality of advertised products/services. 10.4 Third-party links. The Service may contain links to third-party websites. We do not control and are not responsible for their content, policies, or practices. 11) ACCEPTABLE USE You agree not to: - access or attempt to access non-public areas of the Service; - interfere with, disrupt, or bypass security features; - upload malware or abusive content; - scrape, crawl, or harvest data from the Service except as expressly permitted; - use the Service in a way that violates applicable law. 12) INTELLECTUAL PROPERTY 12.1 Our IP. The Service (including its software, design, and branding) is owned by PadelSight or its licensors and is protected by intellectual property laws. Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service. 12.2 Feedback. If you submit feedback, suggestions, or ideas, you grant us a license to use them without restriction or compensation. 13) TERMINATION 13.1 By you. You may stop using the Service at any time. Account deletion may be available by contacting us. 13.2 By us. We may suspend or terminate your account or access to the Service if: - you violate these Terms, - we reasonably believe your use creates risk to other users or to the Service, - required by law, or - the Service is discontinued. 14) DISCLAIMERS TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that uploads, storage, or delivery of Content will always succeed. 15) LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, PADELSIGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. 16) INDEMNIFICATION You agree to defend, indemnify, and hold harmless PadelSight and its affiliates, officers, directors, employees, contractors (including Coaches), and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: - your Content (including Videos) and any alleged infringement or violation of rights, - your breach of these Terms, - your misuse of the Service. 17) COPYRIGHT / IP COMPLAINTS If you believe Content on the Service infringes your intellectual property rights, contact us at: - Email: support@padelsight.com Please include: (1) your contact info, (2) identification of the work allegedly infringed, (3) where the allegedly infringing material is located, and (4) a statement that you have a good-faith belief the use is not authorized. 18) GOVERNING LAW AND DISPUTE RESOLUTION These Terms are governed by the laws of Portugal, excluding its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought in the courts of Lisbon, unless mandatory consumer-protection laws provide otherwise. 19) CHANGES TO THESE TERMS We may update these Terms from time to time. If we make material changes, we will provide notice as required by law.
